Terms & Conditions

§ 1 Provider and Scope

  1. These Terms & Conditions apply to all agreements concluded between:

(hereinafter referred to as the “Provider”)

and individuals who wish to use services provided by Kinda Special (hereinafter referred to as “Member,” “Participant,” or “Customer”).

  • Any conflicting or supplementary terms and conditions of the Member shall not become part of the agreement unless expressly agreed to in writing by the Provider.

  • These Terms & Conditions apply to both consumers within the meaning of § 13 German Civil Code (BGB) and businesses within the meaning of § 14 BGB unless otherwise stated.

§ 2 Description of Services

  1. Kinda Special is a curated social event and membership platform. The Provider organizes carefully selected small-scale events, including dinners, cultural gatherings, sports and outdoor activities, excursions, workshops, and multi-day retreats for curated groups of up to 16 participants.

  2. The purpose of the platform is to facilitate meaningful human connections — social, intellectual, creative, professional, and romantic — within a trusted and curated environment.

  3. The Provider offers the following services:

  • Curated events and experiences (single-event tickets and membership-based access)

  • Membership programs with access to community features and exclusive benefits

  • Application and selection process for participants and members

  • Ambassador and referral programs for selected community members

  • Digital communication and event-related updates

  1. There is no entitlement to membership approval, participation in a specific event, or continued access to the community. The Provider reserves the right to reject or remove applicants or Members at reasonable discretion and in compliance with applicable law, provided such decision is not unlawful or discriminatory.

  2. Access to services and event participation may require successful completion of the application and onboarding process described in § 3.

§ 3 Application and Admission Process

  • Interested individuals may apply via the website, social media, partner platforms, or directly through the Provider.

  • The application process may include an online questionnaire and/or a brief personal conversation by phone or video call.

  • By submitting an application, the applicant confirms that they have read and accepted these Terms & Conditions.

  • A binding agreement is only concluded once the Provider explicitly confirms acceptance by e-mail.

  • The Provider may reject applications without providing reasons, provided this does not violate applicable anti-discrimination laws.

§ 4 Memberships and Event Tickets

4.1 Membership Models

Following acceptance into the community, Members may choose from different membership tiers offered by Kinda Special.

Membership benefits, pricing, included services, and billing intervals are displayed on the official website or booking platform at the time of purchase.

Membership benefits may include:

  • Access to the event calendar

  • Early access to event bookings

  • Reduced ticket pricing for selected events

  • Priority booking access

  • Members-only gatherings and experiences

  • Community features and exclusive content

  • Ambassador eligibility and referral opportunities

The Provider reserves the right to adjust or update membership structures, provided existing Members are informed in advance in accordance with § 13.

4.2 Event Tickets

  • Participation in individual events generally requires the purchase of a separate event ticket unless explicitly included within a membership package.

  • Ticket prices vary depending on the event format, venue, duration, and included services.

  • All prices displayed at checkout are final prices and include applicable statutory VAT unless otherwise stated.

  • Event tickets are personal and non-transferable unless explicitly approved by the Provider.

  • Tickets are subject to availability.

§ 5 Payment and Due Dates

  • Membership fees are payable in advance according to the selected billing cycle and are charged via the payment method provided by the Member via the Site www.kindaspecial.com

  • Event tickets must be paid in full at the time of booking. A booking is only confirmed once payment has been successfully received.

  • The Provider may use third-party payment service providers.

  • In the event of failed payments, chargebacks, or payment default, the Provider reserves the right to suspend access to memberships, events, or community services until outstanding amounts are settled.

  • The Provider reserves the right to adjust membership or ticket pricing in the future. Existing Members will be informed at least eight (8) weeks in advance of any recurring membership price changes.

§ 6 Right of Withdrawal

6.1 Right of Withdrawal for Consumers

Consumers have the statutory right to withdraw from membership agreements within fourteen (14) days without providing reasons.

The withdrawal period begins on the day the agreement is concluded.

To exercise the right of withdrawal, the consumer must send a clear declaration by e-mail to:

6.2 Exclusion of Withdrawal Rights for Event Tickets

Under § 312g para. 2 no. 9 BGB, there is no right of withdrawal for contracts relating to leisure activities if the contract provides for a specific date or period of performance.

Therefore, event ticket purchases for scheduled events, retreats, dinners, workshops, and similar experiences are non-refundable once booked, except as expressly stated in these Terms.

By completing the booking process, the customer expressly acknowledges and agrees to this exclusion of the right of withdrawal.

6.3 Consequences of Withdrawal

If a valid withdrawal occurs, payments already received shall be refunded. Services already partially rendered may be charged proportionately.

§ 7 Cancellation Policy for Event Tickets

  • Cancellations must be submitted in writing via e-mail to hello@kindaspecial.com.

  • Unless otherwise stated for a specific event, the following cancellation policy applies:

  • More than 14 days before the event: full refund

  • 7–14 days before the event: 50% refund

  • Less than 7 days before the event: no refund

  • Members may nominate a replacement participant subject to approval by the Provider. The Provider must be informed at least 48 hours before the event.

  • If an event is cancelled by the Provider, participants will receive a full refund of the ticket price.

  • The Provider shall not be liable for additional costs such as travel, accommodation, or external bookings made by participants.

  • Certain retreats, travel experiences, collaborations, or premium events may be subject to separate cancellation conditions communicated during booking.

§ 8 Duration and Termination of Membership

  • Memberships are concluded for an indefinite period unless otherwise stated.

  • Memberships may be cancelled with fourteen (14) days’ notice to the end of the respective billing period unless otherwise explicitly agreed during sign-up.

  • Cancellation must be submitted via the user account, payment platform, or by e-mail to hello@kindaspecial.com.

  • The right to extraordinary termination for cause remains unaffected.

  • The Provider may suspend or terminate memberships with immediate effect if:

    • the Member seriously violates community standards;

    • payment obligations remain outstanding despite reminders;

    • false information was provided during onboarding;

    • the Member engages in abusive, discriminatory, unsafe, or harmful conduct.

    • Upon termination of membership, access to member-exclusive services ends immediately unless otherwise agreed.

§ 9 Community Guidelines and Conduct

  • Members and participants are expected to interact respectfully, honestly, and responsibly.

  • Harassment, discrimination, intimidation, abusive conduct, or violations of personal boundaries are strictly prohibited.

  • Members may not share personal information, photographs, screenshots, or confidential community content without consent.

  • The Provider reserves the right to remove participants from events or revoke memberships if conduct violates these standards.

  • In cases of serious misconduct, the Provider reserves the right to exclude refunds where legally permissible.

§ 10 Limitation of Liability

  • The Provider shall be fully liable for damages resulting from injury to life, body, or health and for damages caused intentionally or through gross negligence.

  • In cases of slight negligence, the Provider shall only be liable for breaches of essential contractual obligations and limited to foreseeable damages typical for the contract.

  • Any further liability for slight negligence is excluded.

  • The Provider does not guarantee any specific social, romantic, personal, or business outcome resulting from participation in the community or events.

  • Participants attend events at their own responsibility.

  • The Provider assumes no liability for personal belongings brought to events.

§ 11 Data Protection

  • Personal data is processed exclusively in accordance with applicable data protection laws, particularly the GDPR.

  • Details regarding the type, scope, and purpose of data processing are outlined in the Privacy Policy available on the website.

  • For community curation purposes, the Provider may internally use information voluntarily provided by Members.

  • Photos and videos from events will only be published with the consent of the persons depicted unless otherwise legally permitted.

§ 12 Intellectual Property

  • All content, branding, concepts, event formats, designs, texts, graphics, trademarks, and media associated with Kinda Special are protected by intellectual property laws and remain the property of Se Han GmbH unless otherwise stated.

  • Any reproduction, commercial use, distribution, or publication requires prior written permission.

§ 13 Amendments to these Terms

  • The Provider reserves the right to amend these Terms & Conditions where necessary for operational, legal, or business reasons.

  • Members will be informed about material changes in advance via e-mail or through the platform.

  • Continued use of memberships or services after the effective date of updated Terms constitutes acceptance of the revised Terms unless mandatory law requires explicit consent.

§ 14 Final Provisions

  • The laws of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

  • If the Member is a merchant, legal entity under public law, or public special fund, the place of jurisdiction shall be the registered office of Se Han GmbH.

  • The European Commission provides an online dispute resolution platform at:

    https://ec.europa.eu/consumers/odr

  • The Provider is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

  • Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.

  • Individual agreements overriding these Terms must be made in writing.
